Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Dimitris Goudis Consulting Ltd, a company established in the Republic of Cyprus (registered office: Chrysanthou Mylona 11, Agioi Omologites, 1085 Nicosia, Cyprus), trading as 3Nuggets ("we", "us", "our"), governing your use of the Brain Graph software service available at https://itsbraingraph.ai (the "Service").
By creating an account, ticking the agreement checkbox, or paying for a subscription, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.
1. The Service
Brain Graph is a software-as-a-service product that lets you upload documents and transcripts, builds a knowledge graph from them, and lets you converse with AI agents grounded in that material.
We offer the Service in three tiers: Free, Pro, and Max. The Max tier additionally includes a single 4-hour 1-on-1 build session with the founder, Dimitris Goudis (the "Build Session"), plus your first 3 months of Pro at no additional charge.
The currently published features and limits of each tier are listed at https://itsbraingraph.ai/pricing and form part of these Terms.
1.1 The Max Build Session — booking, format, and rescheduling
The Max Build Session is a single, live, screen-shared, 4-hour 1-on-1 session with Dimitris. There is no asynchronous component: ongoing async support outside the session is provided through our weekly Office Hours, not through the Build Session.
You must book the Build Session within 4 weeks of activating your Max plan, using the booking link sent to you on activation. If you do not book within that 4-week window, you can email support@itsbraingraph.ai to arrange a later date at our reasonable convenience; we will not unreasonably refuse, but we cannot guarantee a specific time slot.
Reschedules and cancellations are accommodated where reasonably possible — please give us as much notice as you can, by email.
2. Eligibility and account
You must be at least 18 years old to use the Service. By registering, you confirm that you are. The Service is not intended for minors.
You are responsible for keeping your login credentials confidential, for everything that happens under your account, and for the accuracy of the information you give us at registration.
You may use one account on behalf of yourself or a single organisation. You may not share an account with people outside that organisation, or operate one account on behalf of multiple unrelated organisations.
3. Subscriptions, billing, and taxes
3.1 Plans and billing
- Free is provided at no cost, subject to upload limits published on the pricing page.
- Pro is a recurring monthly subscription at the price shown on the pricing page, charged in US dollars unless stated otherwise.
- Max is a one-time first-month charge that includes the 4-hour 1-on-1 build session and the first 90 days of Pro-tier access at no additional charge; thereafter the account converts to a recurring Pro-tier subscription at the published Pro price.
Payments are processed by Stripe. By upgrading you agree to Stripe's terms. We do not see your card details.
3.2 Auto-renewal
Paid subscriptions automatically renew at the end of each billing period at the then-current published price unless you cancel before the renewal date.
3.3 VAT and other taxes
Where required by law, Value Added Tax (VAT) at the rate of 19% is added to your purchase. VAT is applied to consumers (private individuals) and to companies located in countries where Cyprus VAT applies. Companies located in another EU member state who provide a valid VAT identification number at checkout may be eligible for the reverse-charge mechanism. Stripe Tax handles this calculation at checkout.
3.4 Price changes
We will give you at least 30 days' written notice by email before any price change takes effect. The new price applies to the next renewal after the notice period; you may cancel at any time before then if you do not wish to accept the new price.
3.5 Failed payments
If a renewal payment fails, Stripe will automatically retry the charge over a short window (typically up to 7 days). During that window your subscription is marked as past due; we may restrict access until the payment succeeds. If the payment still has not been collected after 7 days, we will cancel the subscription and your account will roll back to the Free tier (your data is retained — see Section 10).
4. Refunds
We do not offer refunds for the Free, Pro, or Max plans, except:
- Max plan guarantee. If, by the end of your 4-hour 1-on-1 session, your AI cannot answer 3 real questions about your business in your voice, we will at our discretion either (a) book a free 2-hour follow-up session, or (b) refund the full $199 you paid for Max. To claim this guarantee, email
support@itsbraingraph.aiwithin 7 days of the session ending, describing what failed. - Mandatory refunds under EU consumer law. Where you are an EU consumer (see Section 5), nothing in this Section limits your statutory right to a refund where one is required by mandatory law.
If you cancel a Pro or Max subscription mid-period, you keep access until the end of the period you have paid for. We do not pro-rate cancellations.
5. EU consumer right of withdrawal (14 days)
If you are a consumer resident in the European Union, you have the right under EU consumer-protection law to withdraw from your subscription within 14 days of the date the contract was concluded, without giving any reason.
To exercise the right of withdrawal, email support@itsbraingraph.ai with a clear statement that you are withdrawing from the contract, before the 14 days are up. We will refund all payments received from you (including any taxes) without undue delay and in any event within 14 days of receiving your withdrawal notice, using the same means of payment you used.
You may continue to use the Service during the 14-day withdrawal period; doing so does not affect your right of withdrawal. You can also link to the EU Online Dispute Resolution platform here: https://ec.europa.eu/consumers/odr.
This right does not apply to businesses or to the Max-plan 4-hour build session itself once it has been delivered.
6. Acceptable use
You agree not to:
- Upload content you do not have the legal right to upload, including content that infringes third-party intellectual property or contains personal data about others without a lawful basis;
- Upload special-category personal data (health, biometric, sexuality, political opinions, etc.) or regulated data (cardholder data, HIPAA-style health records, classified information). Brain Graph is not designed to process such data and does not have agreements in place for it;
- Use Brain Graph or its outputs as the sole basis for automated decisions about other people's rights — including hiring, firing, credit, healthcare, legal eligibility, immigration, or insurance;
- Present Brain Graph's outputs as legal, medical, financial, psychological, or other professional advice;
- Use the Service to harass, defame, surveil, or impersonate any person;
- Reverse-engineer the Service, scrape it, attempt to extract model weights or training data, or run unauthorised load tests;
- Use the Service or its outputs to build a competing AI knowledge-graph product;
- Share your account credentials, or use one account to serve multiple separate organisations;
- Bypass usage limits or any technical protection measures.
You are responsible for everything you do with the Service. You agree to indemnify us against any third-party claim arising from your breach of these Terms, your uploaded content, or your use of outputs.
7. Your content and ownership
You keep ownership of all content you upload to Brain Graph and of the knowledge graphs Brain Graph builds for you from that content.
You grant us a limited, non-exclusive, royalty-free licence to host, store, transmit, process, and display that content only as necessary to operate, secure, and provide the Service to you — including sending it to the third-party AI providers described in our Privacy Policy.
We do not use your content to train our own models. We may, however, use de-identified, aggregated information about how the Service is used (e.g. average upload volumes per plan, popular feature paths) for product improvement and marketing.
Any feedback you give us about the Service may be used by us freely without obligation.
8. How Brain Graph generates outputs, and why you are responsible for them
8.1 How outputs are produced
Brain Graph's outputs — the knowledge-graph entries it derives from your documents, the answers it gives you in chat, the suggestions it surfaces — are generated by statistical / machine-learning models. Some of that processing happens internally in our own pipelines and "labs"; other parts happen through the third-party AI providers disclosed in our Privacy Policy.
We work continuously on the quality of those outputs, including weekly health checks of our knowledge-graph pipelines and ongoing improvements to extraction, retrieval, and reasoning. Quality work is something we invest in — but it is not a guarantee of accuracy.
8.2 What that means for you
Statistical models are not deterministic. They can produce inaccurate, biased, fabricated, incomplete, or out-of-date information — sometimes confidently and sometimes in ways that look correct at a glance. You are responsible for reviewing, verifying, and validating any output before relying on it.
We make no warranty — express or implied — that the Service's outputs are correct, complete, current, fit for any particular purpose, or free of errors. We exclude all such warranties to the fullest extent permitted by law.
In particular:
- Brain Graph is a productivity tool, not a substitute for professional advice (legal, medical, financial, psychological, tax, or otherwise);
- Brain Graph's outputs are not a substitute for your own judgement, and must not be the sole basis for any decision affecting another person's rights, employment, finances, health, or safety;
- The factual content of an output may not reflect what was actually said, written, or meant by any person referenced in your uploaded material.
8.3 You bear the outcome of work based on outputs
You are solely responsible for the outcome of any work, decision, communication, deliverable, advice, recommendation, or action that you base on Brain Graph's outputs, including any economic, reputational, professional, relational, or legal consequence to you, your business, your clients, your employer, or any third party.
By way of example and without limitation: we are not responsible for revenue you say you lost because of a Brain Graph output, for a client relationship you say ended because of a Brain Graph output, for a deliverable you say underperformed because of a Brain Graph output, or for a third-party claim brought against you because of how you used a Brain Graph output. You assume that risk in exchange for the productivity benefits of using the Service.
9. Service availability
We provide the Service on a commercially reasonable efforts basis. We do not commit to a specific uptime percentage. We may take the Service offline for maintenance with reasonable notice where practical, and immediately for emergency security work.
We may suspend your account where we reasonably believe it is necessary to: prevent abuse or security risk, comply with legal process, address non-payment, or address a serious breach of these Terms. We will tell you why where we are permitted to do so.
10. Term, cancellation, and termination
10.1 By you
You may cancel your paid subscription at any time from inside the Service (Settings → Subscription, which opens the Stripe billing portal). The cancellation takes effect at the end of the current paid period; until then you keep full access. If you cancel, your account rolls back to the Free tier and your data is preserved (subject to Free-tier upload limits).
10.2 Account deletion (separate from cancellation)
You may also delete your account at any time from Settings → Danger Zone. Account deletion is immediate and permanent: your knowledge graph, uploaded documents, conversations, profile, API keys, active subscription, and authentication identity are all hard-deleted in the same request, with no grace period and no recovery. Deletion is final.
10.3 By us
We may terminate or suspend your account immediately, without refund, if you materially breach these Terms (including the Acceptable Use rules in Section 6) or if we are legally required to. Where the breach is curable and the matter is not urgent, we will give you a reasonable opportunity to cure first.
10.4 Effect of termination
On termination, the licence in Section 7 ends and we may delete your data in accordance with our Privacy Policy. Sections that are intended to survive termination — including Sections 6 (Acceptable Use), 7 (last paragraph), 8 (AI Accuracy), 11 (Liability), and 13 (Governing Law) — survive.
11. Liability
To the fullest extent permitted by law:
- We provide the Service "as is" and disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
- Our aggregate liability to you under or in connection with these Terms (whether in contract, tort, or otherwise) is capped at the greater of (a) the total fees you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or (b) one hundred euros (€100).
- We are not liable for lost profits, lost revenue, lost data (beyond what we can recover from our backups), business interruption, or any indirect, incidental, special, or consequential damages — even if we were told the loss was possible.
- Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence.
If you are an EU consumer, the above cap does not affect your statutory rights.
12. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will:
- Update the "Last updated" date at the top of this page;
- Send a notice to your account email at least 14 days before the change takes effect;
- Give you the option to cancel before the change takes effect.
Continuing to use the Service after a change comes into effect means you accept the change.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules.
Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus — except that, if you are an EU consumer, mandatory consumer-protection laws of your country of residence still apply, and you may also bring proceedings in the courts of your home country.
EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr to attempt out-of-court resolution.
14. Miscellaneous
- Whole agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the whole agreement between you and us concerning the Service. They replace any prior agreement on the same subject.
- No waiver. If we don't enforce a right, we don't waive it.
- Severability. If any provision is held unenforceable, the rest of the Terms remain in force.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, on notice to you.
- Notices. Notices to us must be sent to
support@itsbraingraph.ai. Notices to you will be sent to the email address on your account.
